Terms of Service
Last updated October 7, 2026
The short version. It isn't a substitute for the Terms below, which are what we agree to.
- Coho is for businesses. If you sign up for an organization, you agree to these Terms on its behalf.
- Your content stays yours. We use it only to run Coho for you.
- Paid plans renew every month until you cancel. Canceling takes effect at the end of the billing period, and fees aren't refunded except as our Refund and Cancellation Policy says.
- If a payment fails, we pause editing, not your website: published content keeps being delivered while you sort it out.
- When an account closes, we keep its content for 30 days so you can take it with you, and then delete it.
1. This agreement
These Terms of Service (the "Terms") are an agreement between you and [Company legal name], [a corporation or LLC formed in State] ("Coho", "we", "us"). They govern your use of Coho: the sign-in pages, the web app, the Authoring and Runtime APIs, the coho command-line tool and SDKs, and the support we provide (together, the "Services").
You accept these Terms by creating an account or by using the Services. If you use the Services for an organization, "you" means that organization, and you confirm that you have authority to accept these Terms for it.
These Terms include, by reference, the Data Processing Addendum (the "DPA"), the Refund and Cancellation Policy, and the plans and prices on the Pricing and contact page. Our Privacy Policy explains how we handle personal data about you. If you have signed an order form with us, for example for an Enterprise plan, the order form governs where it conflicts with these Terms.
2. Business use only
The Services are for business and professional use: for a company, an organization, or your own trade or profession, and not for personal, family or household purposes. A developer working on their own account is using Coho for their profession.
You must be at least 18 years old and able to enter into a binding contract. You may not use the Services if the law forbids you from receiving them (see section 16).
3. Accounts and logins
- One login per person. Each person signs in with their own email address and password. Don't share logins.
- Accurate details. Keep your email address current. We use it for sign-in codes and for notices about the Services.
- Security. Keep your password, and any delivery keys you create, secret. You're responsible for what happens under your logins and keys. If you think one has been compromised, tell us straight away at support@coho-cms.com.
- Your organization's members. An account's admins decide who belongs to it and in which role. The organization is responsible for what its members do in the Services and for removing people who should no longer have access.
4. Plans, fees and payment
- Plans. The Free plan costs nothing and has fixed limits. When a Free project reaches a limit, the action that would exceed it stops; it is never charged. Paid plans include what the Pricing and contact page or your order form describes.
- Billing. Paid plans are billed monthly, in US dollars. Each invoice charges the base fee for the month ahead and the usage beyond your plan's allowances in the month just ended. We measure usage as the Pricing and contact page describes.
- Automatic renewal. A subscription renews automatically each month until it is canceled. You authorize us, through our payment processor Stripe, to charge your payment method for each invoice when it is due.
- Taxes. Prices don't include taxes. You're responsible for sales, use, value added, goods and services and similar taxes on your purchases, other than taxes on our income. Where we are required to collect a tax, we add it to the invoice. If you give us a valid tax ID showing that a tax does not apply or that you account for it yourself (for example, under a reverse charge), we won't charge it.
- Price changes. Each plan has a version. We may publish new versions with different prices at any time, and your account keeps its current version. If we ever need to move existing accounts to a new version, we will tell you at least 30 days before it takes effect, and you may cancel before then.
- Failed payments. If a payment fails, we will tell you and retry it. If an invoice is still unpaid 14 days after it was due, we may suspend editing for the account. During that suspension your published content keeps being delivered. If the invoice is still unpaid 30 days after the suspension began, we may close the account as described in section 5.
- Billing questions. If you think a charge is wrong, tell us at support@coho-cms.com within 60 days of the invoice. We'll look into it and correct genuine errors. Please contact us before disputing a charge with your bank or card issuer; the Refund and Cancellation Policy explains why.
- The Free plan. We may change the Free plan's limits, or stop offering it, with at least 30 days' notice.
5. Cancellation, suspension and termination
By you
You may cancel a paid plan at any time, in Coho's billing settings or by emailing support@coho-cms.com from an admin's address. Cancellation takes effect at the end of the current billing period, and you won't be charged again apart from usage up to that date. You may close your whole account in the same way.
By us
We may suspend or terminate your access to the Services:
- if you materially breach these Terms and don't put it right within 15 days of our notice, or straight away for a breach that can't reasonably be put right, such as serious abuse of the Services or unlawful content;
- for non-payment, as section 4 describes;
- if the law, a court or a government authority requires it; or
- if we stop offering the Services, with at least 90 days' notice and a refund of any fees you have paid for the period after they end.
We may also suspend particular keys, projects or accounts straight away if their use threatens the security or availability of the Services, harms other people, or could expose us to legal liability. We will tell you why, and restore access once the problem is resolved.
When an account closes
Access to the Services ends, and the account's published content stops being delivered. We keep the account's content for 30 days so that you can ask us to restore it or help you export it, and then we delete it. Anything owed before then remains due, and sections 6, 10 and 13 to 19 continue to apply after these Terms end.
6. Your content
- It's yours. "Customer Content" means the content, content types, schemas and other material that you or your members put into the Services. You keep all rights in it.
- What you let us do with it. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display Customer Content only as needed to provide, secure and support the Services for you, and to deliver it to the audiences you choose, for example to anyone holding a delivery key you created.
- Your responsibility. You're responsible for Customer Content and for having the rights you need to put it into the Services and publish it.
- Data we can't accept. Don't put special categories of personal data, health information regulated by HIPAA, or payment card data into Customer Content unless we have agreed to it in writing.
- Personal data in your content. When Customer Content includes personal data, we process it on your behalf, as your processor or service provider, under the DPA.
- Your own copies. Coho keeps every version of your content, but you should still keep your own exports of anything you can't afford to lose. You can export your content at any time through the APIs and the coho command-line tool.
7. Acceptable use
You won't, and won't help or allow anyone else to:
- break the law, or infringe or misappropriate anyone else's rights;
- store or publish content that sexually exploits children, incites violence or terrorism, harasses or threatens people, or is otherwise unlawful;
- distribute malware, or host phishing pages or other content meant to trick people into giving up credentials, money or personal data;
- send spam, or collect personal data without a lawful basis;
- probe, scan or test the vulnerability of the Services, or get around their security, authentication, rate limits, plan limits or usage metering, except as part of security research we have agreed to in writing (report vulnerabilities to support@coho-cms.com);
- interfere with or overload the Services, or other customers' use of them;
- copy, reverse engineer or decompile the Services, except where the law allows it despite this restriction, or use them to build a competing product; or
- resell or sublicense the Services. Building and running sites and apps for your own clients, as an agency does, is allowed.
We may remove content, or suspend access, that breaks this section, as section 5 describes.
8. Our rights, open source and feedback
- The Services are ours. We own the Services, including their software, design and documentation. While your account is in good standing, we grant you a non-exclusive, non-transferable right to use them under these Terms.
- Open source. The coho command-line tool and SDKs are open source under the Apache License 2.0, and that license, not these Terms, governs their source code. Using them to reach the Services is subject to these Terms.
- Service data. We collect data about how the Services are used and how they perform, such as usage meters, performance figures and security events. We use it to run, bill, secure and improve the Services. We share it only with our service providers, or in an aggregated form that identifies neither you nor any person.
- Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.
9. Privacy and data protection
Our Privacy Policy explains how we handle personal data about you and your members, such as account, billing and support data, for which we are the controller. For personal data in Customer Content, we act on your behalf under the DPA, which forms part of these Terms.
10. Confidentiality
Each of us may receive non-public information from the other that is marked confidential, or that a reasonable person would understand to be confidential ("Confidential Information"). Customer Content is your Confidential Information. The party receiving Confidential Information will use it only to perform these Terms or exercise its rights under them, protect it with at least reasonable care, and share it only with its personnel and contractors who need it and are bound by similar duties.
This doesn't cover information that is or becomes public through no fault of the recipient, that the recipient already had or develops independently, or that it receives lawfully from someone else. A recipient may disclose Confidential Information when the law requires it, after giving the other party notice where the law allows.
11. Payments and other third parties
Payments are processed by Stripe, Inc. and its affiliates ("Stripe"). Card and bank details go directly to Stripe and never reach our servers. Your use of Stripe's services, including Link, Stripe's service for saving payment details, is subject to Stripe's own terms and its Privacy Policy. We aren't responsible for third-party websites or services that the Services link to or work with.
12. Changes to the Services and support
- Changes. We improve the Services continually, and may add, change or remove features. If we remove a feature that a paid plan depends on in a material way, we will give you at least 30 days' notice where we reasonably can.
- Previews. Features labeled alpha, beta or preview are provided as they are, may change or end at any time, and aren't covered by any service level.
- Support. Email support@coho-cms.com. We aim to reply within two business days. Enterprise support and service levels are set out in the order form, and no other uptime commitment applies.
13. Disclaimers
EXCEPT AS THESE TERMS EXPRESSLY STATE, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT CONTENT WILL NEVER BE LOST.
14. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS:
- NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS, EVEN IF IT WAS TOLD THEY WERE POSSIBLE.
- EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID OR OWE US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE LIABILITY AND (II) US$100.
- THESE LIMITS DON'T APPLY TO YOUR OBLIGATION TO PAY FEES, TO YOUR OBLIGATIONS UNDER SECTIONS 7 AND 15, OR TO LIABILITY FOR FRAUD, GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR ANY OTHER LIABILITY THE LAW DOES NOT ALLOW TO BE LIMITED.
15. Indemnity
You will defend us, our affiliates, and our and their officers, employees and agents against any third-party claim arising from Customer Content, or from your or your members' use of the Services in breach of these Terms or the law. You will pay the damages, costs and reasonable legal fees finally awarded against us, or agreed in a settlement you approve. We will tell you promptly about the claim, let you control its defense, and give you reasonable help at your expense. You may not settle a claim in a way that admits fault on our part or places obligations on us without our consent.
16. Export controls and sanctions
The Services are subject to United States export control and economic sanctions laws. You confirm that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive US sanctions; that you are not on, or owned or controlled by anyone on, a US government list of restricted parties; and that you will not use the Services, or allow them to be used, in breach of those laws.
17. Governing law and disputes
These Terms are governed by the laws of the State of [State] and the federal laws of the United States, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods doesn't apply.
Before starting proceedings, each of us will try in good faith to resolve a dispute informally for at least 30 days after receiving written notice of it. After that, the state and federal courts located in [County, State] have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and each of us consents to their jurisdiction. Either of us may seek urgent injunctive relief in any court to protect its intellectual property or Confidential Information.
18. Changes to these Terms
We may update these Terms. If a change is material, we will tell your account's admins by email or in the Services at least 30 days before it takes effect, and the updated Terms will show a new date at the top. Changes don't apply retroactively. If you don't agree to a change, you may cancel before it takes effect. By continuing to use the Services after that date, you accept the updated Terms. Changes that the law requires, or that address security, may take effect sooner.
19. General
- Entire agreement. These Terms, with the documents they include, are the whole agreement between us about the Services and replace any earlier agreement about them. Terms in a purchase order or similar document don't apply.
- Assignment. You may not transfer these Terms without our consent, except to a successor to all or substantially all of your business. We may transfer them to an affiliate, or to a successor in a merger, acquisition or sale of assets.
- Events beyond control. Neither of us is liable for a delay or failure caused by events beyond its reasonable control. This doesn't excuse an obligation to pay.
- Notices. We send notices to the email addresses of your account's admins, or in the Services. You send notices to support@coho-cms.com, and legal notices also by post to [Company legal name], [Mailing address]. You agree to receive notices and other communications from us electronically.
- Everything else. If a court finds part of these Terms unenforceable, the rest continues in effect. Not enforcing a provision isn't a waiver of it. We are independent contractors, and these Terms create no partnership or agency and give no rights to third parties. If a translation of these Terms conflicts with the English version, the English version governs.
